NBC Capital Corporation Shareholders Approve Amendments to Articles of Incorporation

STARKVILLE, Miss. -- NBC Capital Corporation (AMEX: NBY), the holding company for National Bank of Commerce, announced that shareholders approved two proposed amendments to the Corporation's Articles of Incorporation and elected 21 directors at its annual meeting held yesterday.

NBC shareholders approved amendments that eliminate preemptive rights and cumulative voting rights. Over 75% of shareholders approved the changes to NBC's Articles of Incorporation.

"NBC's Board of Directors remains focused on building shareholder value," stated Lewis F. Mallory, Jr., chairman and chief executive officer of NBC Capital Corporation. "Our earnings were up in the first quarter and we are optimistic about improved earnings for the remainder of 2005.
