Capital Lease Funding Clarifies Recent Stock Sale
Business Wire, June 2, 2005
NEW YORK -- Capital Lease Funding, Inc. (NYSE: LSE) clarified today that the sale of 1,295,566 shares of its common stock reported yesterday by its chairman, Lewis Ranieri, on a Form 4 filed with the SEC, represented a sale by Hyperion CLF LLC, not a sale by Mr. Ranieri. Hyperion CLF LLC is wholly-owned by Hyperion Partners II L.P., an investment partnership managed by Mr. Ranieri.
Under SEC reporting rules, Mr. Ranieri was required to report the sale effected by Hyperion CLF LLC because Mr. Ranieri owns an indirect pecuniary interest in the shares sold.
