Unico, Inc. to File 10-K Annual Report Today; Company's Stock Temporarily Trades Under the Symbol ``UNCNE''
Business Wire, June 20, 2005
SAN DIEGO -- Unico, Inc. (OTCBB:UNCNE) has announced that the Company expects to file its Form 10-K Annual Report with the Securities and Exchange Commission by the end of business today. Due to an extended delay in filing the 10-K, Unico's stock symbol has temporarily changed to "UNCNE." Once the filing has been made as expected, the "E" will be removed from its stock symbol within the next several days, and the Company's stock will again trade under the symbol "UNCN."
The delay in filing the Company's 10-K Annual Report was precipitated, in part, by the Securities and Exchange Commission's review of Unico's 14A Definitive Proxy Statement and certain material transactions effecting the financial statements, which include the company's preferred stock and convertible debentures. Unico believes that it now has a resolution of these issues and expects to file the 14A Definitive Proxy once it receives the SEC's final review on its recommended changes.
The company filed a 14A Preliminary Proxy Statement with the Securities and Exchange Commission on April 12, 2005, requesting shareholder votes on a proposal to amend Unico's Articles of Incorporation. The 14A replaced the 14C Preliminary Information Statement that was filed on March 9, 2005.
Mark A. Lopez, chief executive officer of Unico Inc., commented: "We are pleased to have the 10-K ready to be filed and look forward to moving on to file the Definitive 14C so that our shareholders are able to vote on the issues under consideration. It has now been several months since our Preliminary 14A was filed, and we understand how anxious our stockholders must be to address these proposed changes to the Company's Articles of Incorporation.
"We believe that once these issues have been addressed, Unico can implement its plans to fully develop the Company's subsidiary mine properties, draw out what are believed to be significant mineral resources in the mines and bring value to the Company's stockholders," added Mr. Lopez.
