i2 Technologies Announces Closing of Private Placement of Senior Convertible Notes and Warrants

DALLAS -- i2 Technologies, Inc. (Nasdaq:ITWO) announced today that it has completed its private placement of $75 million in aggregate principal amount of 5% Senior Convertible Notes due 2015. In connection with the private placement, i2 also issued ten-year warrants to purchase an aggregate of 484,889 shares of its common stock. The pricing of the private placement was previously announced by the company on November 22, 2005. The investors have an option to purchase up to $11.25 million of additional notes for 60 days following the closing.
The notes, the warrants and the shares of common stock issuable upon conversion of the notes and exercise of the warrants have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws and, unless so registered, the securities may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
