Salomon Brothers Capital and Income Fund Inc. Announces Shareholder Approval of New Management Agreement

NEW YORK -- Salomon Brothers Capital and Income Fund Inc. (NYSE: SCD) announced today that at the Special Meeting of Shareholders held on Tuesday, November 22, 2005, shareholders of the Fund voted to approve a new management agreement between the Fund's current investment manager and the Fund. The new agreement will go into effect upon the closing of the transaction between Citigroup Inc. and Legg Mason, Inc., in which Legg Mason will acquire Citigroup's asset management business, including the Fund's investment manager. That transaction is expected to close on December 1, 2005.
