Metals USA Announces Special Meeting of Stockholders

HOUSTON -- Metals USA, Inc., (Nasdaq:MUSA) today announced that a special meeting of stockholders is to take place on Wednesday, October 19, 2005, 10:00 a.m. (EDT) at the offices of Akin Gump Strauss Hauer & Feld LLP, 590 Madison Avenue, New York, New York to consider and vote on a proposal to adopt the Agreement and Plan of Merger, dated as of May 18, 2005, by and among Metals USA, Inc., Flag Holdings Corporation and Flag Acquisition Corporation. Stockholders of record as of the close of business on Tuesday, September 13, 2005, will be entitled to vote at the special meeting. The Company expects to file promptly its definitive proxy statement with the Securities and Exchange Commission.
