NASDAQ Moves Cell Wireless Trading to the Pink Sheets

TUCSON, Ariz. -- Cell Wireless Corp. (Pink Sheets: CLWL) announced today that the NASDAQ Listing Qualifications Hearing Panel has ruled that the company's securities are ineligible for continued quotation on the OTCBB. Cell Wireless Corp. has now moved the securities trading of its common stock to the "Pink Sheets" for quotation. After many months of attempting to comply with the SEC and PCAOB (Public Company Accounting Oversight Board) rules by hiring a foreign auditor to audit the acquired foreign company, NASDAQ has ruled that the audited financial statements of the predecessor companies for the years 2003 and 2004 will need to be audited by a U.S. PCAOB registered auditor and has requested that the company complete these statements in order to continue trading on the automated quotation system (OTCBB).
The company's PCAOB auditors, SEC attorney and officers have expressed their disagreement with the NASDAQ interpretation of the new rules, but have been unable to convince the hearing panel to accept the statements of the foreign auditor whose reports appeared in the company's 8-K/A filing. The company will now engage a U.S. PCAOB registered auditor to submit another audit report to satisfy the requirements of NASDAQ. The company feels it can provide this report in the very near future.
