Guardian Technologies International Announces Further Delay in Filing Its Form 10-K for 2005

HERNDON, Va. -- Guardian Technologies International, Inc. (OTCBB:GDTI) today announced that it will be further delayed in filing its 2005 Annual Report on Form 10-K with the Securities & Exchange Commission (SEC). The Company had previously filed a notification of late filing of its Form 10-K for 2005. As a result of the Company's filing delay, the Company expects that an "E" suffix will be added to its trading symbol by the OTC Bulletin Board to change the Company's trading symbol from GDTI to GDTIE.
The delay in the Company's 2005 Form 10-K filing is due to the additional time required for the restatement of the Company's 2003 and 2004 year-end financial statements. The Company's 2005 statement can only be filed after prior year financial statements have been restated.
As disclosed in the Company's Form 8-K filed on February 24, 2006 and its Form 12b-25 filed on March 31, 2006, the Company proposes to restate its audited consolidated financial statements for the years ended December 31, 2003 and 2004, and certain interim financial statements, for the reasons set forth in such filings.
"We are working diligently with our auditor to complete the restatements for the prior periods," commented Michael Trudnak, chief executive officer. "We are anticipating this process to take a few more weeks, at which time we will immediately file the 2005 Form 10-K and again be compliant with the OTC Bulletin Board's eligibility requirements."
