A portion of the shares will be issued and sold by Double-Take Software, Inc., and a portion will be sold by certain stockholders of Double-Take Software, Inc. Cowen and Company, LLC and Thomas Weisel Partners LLC are acting as joint book-running managers, with CIBC World Markets Corp. and Pacific Crest Securities Inc. acting as co-managers.
