Charter Communications Extends Exchange Offer

ST. LOUIS -- Charter Communications, Inc. (NASDAQ: CHTR) announced today that its subsidiaries, CCH I, LLC and CCH I Capital Corp. and CCH II, LLC and CCH II Capital Corp., are extending the expiration date of their offer to exchange their outstanding $462 million aggregate principal amount of CCH I Senior Notes due 2015 and $250 million aggregate principal amount of CCH II Senior Notes due 2013, which are not registered under the Securities Act of 1933, for a like aggregate principal amount of their new Senior Notes with the same corresponding due dates, which are registered under the Securities Act of 1933. The outstanding notes were issued in a private placement in September 2006 and are guaranteed by Charter Communications Holdings, LLC.
The exchange offer is being made pursuant to a Prospectus dated November 15, 2006, and related Letter of Transmittal, which more fully set forth the terms of the exchange offer. The exchange offer was originally scheduled to expire on Monday, December 18, 2006, at 5:00 PM Eastern Time (ET) time. The exchange offer has been extended so that it is now scheduled to expire at 5:00 PM ET, on Thursday, December 21, 2006, unless further extended. All other terms of the exchange offer remain unchanged.
