Business Wire, Feb 23, 2006
WESTLAKE VILLAGE, Calif. -- CaminoSoft Corp. (OTCBB:CMSF), a leading provider of Information Lifecycle Management (ILM) solutions for Microsoft Windows 2000/2003 and Novell NetWare environments, today announced it has completed a $600,000 private placement with Renaissance Capital Group, Inc. comprised of common stock at a five-day average closing price.
Renaissance Capital Group, Inc. has also agreed to extend the maturity date of a $750,000 loan at 7% interest for an additional eighteen months in exchange for 150,000 five-year warrants to purchase the company's common stock at an exercise price equal to the five-day average closing price of the stock referenced above.
"During the past year, we have substantially strengthened CaminoSoft's position and interaction with the company's technology and channel partners," said Michael Skelton, chief executive officer of CaminoSoft. "As a result, we have gained significant business traction with these organizations, and our sales pipeline has been expanded to include many partner-supported enterprise class opportunities. The additional support from Renaissance through this financing and loan extension will enable CaminoSoft to further leverage these relationships and opportunities, as well as strengthen the company's presence and marketing efforts internationally. Our recent addition of sales and technical resources in the UK is a direct result of the growing demand in the European market for CaminoSoft's ILM solutions."
According to Robert Pearson, senior vice president and director of corporate finance of Renaissance Capital Group and member of CaminoSoft's board of directors, "These financial transactions underscore Renaissance Capital's ongoing commitment to CaminoSoft and confidence in its prospects for growth and profitability.
