Business Wire, Jan 16, 2006

LEXINGTON, Mass. -- Fresenius Medical Care North America (FMCNA), a subsidiary of Fresenius Medical Care AG (Frankfurt Stock Exchange: FME, FME3) (NYSE: FMS, FMS-p), the world's largest provider of Dialysis Products and Services, today announced the purchase of the remaining 50% equity shares of Renaissance Health Care, Inc., (Renaissance) from the individual nephrologist shareholders across North America and announces the purchase of the remaining 19% equity shares of Optimal Renal Care, Inc. from the Kaiser Federation. Optimal Renal Care has now been merged into Renaissance Health Care, Inc., and the new company will be called Renaissance Health Care, Inc.

Renaissance now becomes the largest provider of Chronic Kidney Disease Management Services in the world. The merger of the two companies will take advantage of the broad range of expertise and experience of the two companies, while at the same time realizing efficiencies in operating structures and services. The merger combines a complementary customer base and creates a national network of care management services and staff that will allow for a continued expansion of the combined business. This purchase will also allow Fresenius Medical Care to further develop its integrated approach to disease management services and to improve the care for patients with chronic kidney disease.

The corporate headquarters of Renaissance will be located in Lexington, Ma, with call center and operational offices in Broomfield, CO. Robert Farrell, Senior Vice President, Disease Management for FMCNA, President of Fresenius Medical Care Health Plan, and CEO of Renaissance Health Care, Inc. commented, "The purchase of these entities and merger into one operating company expands our ability to improve the care and lives of renal patients and reduces overall expenditures for health care payers. Renaissance will also provide disease management services to the newly-formed Fresenius Medical Care Health Plan, a Medicare Advantage Plan created specifically for end stage renal disease patients. Fresenius Medical Care Health Plan will participate in the Centers for Medicare and Medicaid Services' ESRD Disease Management Demonstration Project. This CMS project is strongly supported by Fresenius Medical Care to bring comprehensive disease management and care coordination services to a broader population of ESRD patients covered under the Medicare Program."
