Unica Announces Settlement and License Agreement with NetRatings, Inc

Business Wire, July 3, 2006

WALTHAM, Mass. -- Unica(R) Corporation (Nasdaq: UNCA), a leading global provider of Enterprise Marketing Management (EMM) solutions, announced that it has reached a settlement and patent license agreement with NetRatings Inc. Both aspects of the agreement relate to technology Unica gained as a result of its acquisition of Sane Solutions on March 22, 2006.

Under the terms of the agreement, NetRatings has agreed to dismiss all legal claims against Unica, and the company has obtained a non-exclusive, world-wide license to certain patents owned by NetRatings in exchange for a one-time fee of $1.5 million.

Yuchun Lee, chief executive officer of Unica Corporation, stated, "We are pleased that we were able to come to a relatively quick agreement with NetRatings, enabling the company to focus 100% on executing our growth strategy and making our customers successful. In addition to being completed on financial terms that we believe are attractive to Unica and our shareholders, the agreement is positive for our customers. Unica customers can make strategic commitments to our Internet marketing suite knowing we remain in full control over the future development of these applications. In addition to being an industry leader in EMM, we believe Unica is the only company capable of delivering an end-to-end, cross-channel marketing solution."
