Guardian Technologies International Announces Delayed Filing of Form 10-K

HERNDON, Va. -- Guardian Technologies International, Inc. (OTCBB:GDTI) today announced that it has filed a Form 12b-25 Notification of Late Filing with the U.S. Securities and Exchange Commission (SEC) indicating that it would be delayed in filing its Annual Report on Form 10-K for the year ended December 31, 2005.
As disclosed in a Form 8-K the Company filed with the SEC on February 24, 2006, in response to comments received from the Staff of the SEC, management of Guardian Technologies International, with the subsequent concurrence of the Audit Committee, has determined that, due to certain accounting errors described in the Form 8-K, the Company will restate the Company's audited consolidated financial statements for the years ended December 31, 2003 and 2004, and its unaudited consolidated financial statements for the periods ended March 31, June 30, and September 30, 2004, and the periods ended March 31, June 30, and September 30, 2005. The need for the Company to restate its audited financial statements for 2003 and 2004 is the reason for the delay in the filing of its Annual Report on Form 10-K for the year ended December 31, 2005.
