A Trimaran Capital Partners Company Expands Its Concept and Geographic Reach
MOUNTAINSIDE, N.J. & NEW YORK -- Bugaboo Creek Acquisition, LLC, a wholly-owned subsidiary of Charlie Brown's Acquisition Corp., has entered into a definitive agreement to purchase the Bugaboo Creek Steakhouse restaurant chain from RARE Hospitality International, Inc. (NASDAQ: RARE). The transaction, valued at $28 million, is expected to close by the third calendar quarter of 2007, subject to customary closing conditions.

Charlie Brown's Acquisition Corp. is owned by Trimaran Capital Partners, the New York-based private asset management firm. Atlanta-based Bugaboo Creek Steakhouse is a unique concept of attractive, family-friendly establishments featuring moderately-priced, flavorful food items. The concept attracts casual dining guests by creating an entertaining restaurant experience for families and couples alike in the setting of an authentic Rocky Mountain lodge. The chain operates 30 restaurants in 10 states, primarily along the Eastern seaboard of the U.S.
The two restaurant chains will retain their separate brands and identities. Bugaboo Creek's management team will remain in place and the company's headquarters will remain in Atlanta.

Ableco Finance LLC will provide debt facilities in support of the acquisition, subject to customary closing conditions.
