R.A.B. Holdings, Inc. Announces Spin-Off

NEW YORK -- R.A.B. Holdings, Inc. ("R.A.B.") announced that its Distribution Holdings, Inc. subsidiary (the parent of Millbrook Distribution Services Inc.) was spun-off as a separate company effective February 22, 2007. Distribution Holdings, Inc.'s Millbrook subsidiary simultaneously entered into a new forty five million dollar ($45,000,000) credit facility with a group of financial institutions led by JPMorgan Chase.

Millbrook is also pleased to announce the expansion of its supply relationship with Albertson's LLC, as it establishes a stronger presence for Millbrook in the Texas, Florida, Arizona, and Colorado market areas. Millbrook currently supplies many non-food categories to Albertson's including cosmetics, hair care, candles, party needs, hosiery, and small appliances. Millbrook's distribution centers in Harrison, Arkansas and Tampa, Florida will be the primary facilities supporting the new Albertson's business. The new relationship has Millbrook supplying Albertson's LLC with the specialty, ethnic and national food categories.

R.A.B. continues to be the parent company of R.A.B. Food Group, LLC ("Food Group").
