Safeguard to File Form 12B-25 to Extend Filing Due Date of Its 2006 Annual Report on Form 10-K

WAYNE, Pa. -- Safeguard Scientifics, Inc. (NYSE: SFE), a holding company which builds value in growth-stage technology and life sciences companies, announced that today it will file a Form 12b-25, Notification of Late Filing, with the Securities and Exchange Commission (SEC) for its Annual Report on Form 10-K for the year ended December 31, 2006. This filing extends the March 16, 2007 filing due date for up to fifteen calendar days under SEC rules.
Safeguard's Form 10-K is required to include financial and other information concerning Clarient, Inc. (Nasdaq: CLRT), a majority-owned subsidiary. Clarient files reports with the SEC, but is not an accelerated filer. Therefore, its 2006 Annual Report on Form 10-K is not yet due. During the first quarter of 2007, Clarient sold its instrument business for approximately $12.5 million and completed several significant financing transactions, all of which caused delays in the completion of its financial statements. As a result, Clarient has not yet completed preparation of its 2006 Annual Report on Form 10-K. Safeguard currently anticipates that Clarient's financial and other information will be available within the 15-day period provided by Rule 12b-25 and that Safeguard will be able to file its Annual Report on Form 10-K within that period.
Additionally, Safeguard currently expects that the results of operations to be reported in its 2006 Annual Report on Form 10-K will be substantially consistent with the results reported in the company's fourth quarter 2006 earnings press release on March 8, 2007.
