Syntax-Brillian Announces Additional Details for Common Stock Offering

TEMPE, Ariz. -- Syntax-Brillian Corporation (Nasdaq:BRLC) announced today that it has filed a preliminary prospectus supplement to its effective shelf registration statement previously filed with the Securities and Exchange Commission relating to a proposed underwritten public offering of 25,608,695 shares of its common stock, consisting of 23,000,000 shares to be issued by the company and 2,608,695 shares to be sold by certain of its stockholders. In connection with the offering, Syntax-Brillian and the selling stockholders also plan to grant the underwriters an option to purchase up to an aggregate of 3,841,305 additional shares of common stock.
Merrill Lynch & Co. will be the sole book-running manager for the offering. UBS Investment Bank will be co-lead manager. Robert W. Baird & Co., Canaccord Adams, and Brean Murray, Carret & Co. will serve as co-managers.
Net proceeds to Syntax-Brillian are intended to be used to finance the working capital needs associated with continued expansion of its business, to repay $20.0 million of outstanding indebtedness, and for other general corporate purposes.
