Oasis Online Technologies to Acquire TranSend International, Developer of MasterCard's OneSmart Web™

MINNEAPOLIS -- Oasis Online Technologies Corp. (OTCBB:OOLN) has entered into a letter of intent with TranSend International, Inc. to acquire 100% of TranSend's outstanding shares.
Under the terms of the Letter of Intent, Oasis will issue one share of its common stock for each of the 15 million outstanding shares of TranSend's common stock. Closing of this transaction is subject to customary conditions which will include, among other things, the completion of an audit of TranSend for at least the past two years. Management expects this process will be completed within 60 to 90 days. Upon closing of the transaction, TranSend will become a wholly-owned subsidiary of Oasis.
"TranSend is a perfect fit for us because it brings two of the three elements we have been searching for as part of our business plan and business strategy," stated Erik J. Cooper, CEO of Oasis. "Those three elements are: acquiring or developing security and convenience software, channel partners to market with, and the ability for us to market those products directly to consumers." Cooper continued, "The acquisition of TranSend will bring us great products like PocketServer[TM] and CardTouch[TM], and will also bring outstanding channel partners to market through, such as MasterCard[TM] and the other card associations."
Donald R. Teague, TranSend's Chairman, stated, "Oasis' strategy is what first excited me about this transaction. Also, Oasis being a public company whose new capital structure we found attractive will provide us with greater exposure and access to additional resources, which I believe should allow us to execute Oasis' strategic plan."
