Fitch Downgrades Five Gas Prepaid Rev Bonds to 'A+'; Outlook Negative

NEW YORK -- Fitch downgrades the rating on five gas prepaid revenue bond transactions to 'A ' from 'AA-'. The Rating Outlook is Negative. The rating action follows Fitch's downgrade to 'A ' from 'AA-' for Merrill Lynch & Co., Inc. The downgrade follows Merrill Lynch's revised earnings for third quarter 2007 (3Q07). The size of trading losses and unrealized gains unexpectedly overwhelmed the performance of the consolidated firm. Additional losses were recognized in leveraged financing and mortgage further impacting the quarter's performance (for more information see Fitch's release titled 'Fitch Downgrades Merrill Lynch's Ratings; Maintains Negative Outlook' available on www.fitchratings.com). This rating action applies to the following series of bonds:
--Main Street Natural Gas, Inc. Gas Project Revenue Bonds, Series 2006B;
--Main Street Natural Gas, Inc. Gas Project Revenue Bonds, Series 2007A;
--Clarksville Natural Gas Acquisition Corp. Gas Revenue Bonds, Series 2006;
--Roseville Natural Gas Financing Authority Gas Revenue Bonds, Series 2007A;
--Long Beach Bond Finance Authority Natural Gas Purchase Revenue Bonds, Series 2007A & 2007B.
The long-term ratings and Outlook on the bonds is determined by Fitch's assessment of their structure and the entities involved in each transaction, including Merrill Lynch & Co., Inc. (Issuer Default Rating [IDR] rated 'A ' by Fitch). In each case, bond proceeds were used to fund a natural gas prepay transaction between the issuer and Merrill Lynch Commodities, Inc. (the supplier).
