Sirona Files Shelf Registration Statement on Behalf of Shareholder

LONG ISLAND CITY, N.Y. -- Sirona Dental Systems, Inc., (Nasdaq: SIRO), a leading global manufacturer of technologically advanced, high quality dental equipment, announced today that it filed a shelf registration statement with the Securities and Exchange Commission.

The shelf registration statement was filed on behalf of Sirona Holdings Luxco S.C.A. ("Luxco"), a Luxembourg-based holding entity owned by funds managed by Madison Dearborn Partners ("MDP"), Beecken Petty O'Keefe and certain members of the Sirona management team. The shelf registration statement registers for resale (and other dispositions) 36,972,480 shares of the Company's stock.

In the event that any of the shares covered by the registration statement are sold by Luxco, the selling shareholder will receive all of the net proceeds from the sale of the common stock.

A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective.
