Hatteras Financial Corp. Resale Registration Statement Declared Effective

WINSTON SALEM, N.C. -- Hatteras Financial Corp. (NYSE:HTS) ("Hatteras" or "the Company") today announced that the Securities and Exchange Commission has declared effective its Registration Statement on Form S-11 (the "Registration Statement") relating to the resale of 15,103,937 shares of its common stock.
All of these shares of common stock were originally issued and sold in privately placed common stock offerings in November 2007 and February 2008. The Company filed the Registration Statement in accordance with the terms of the registration rights agreements entered into by the Company at the time of the private offerings. Under the Registration Statement, the selling stockholders listed in the prospectus are permitted, but are not obligated, to sell, from time to time, some or all of their respective shares covered by the prospectus. Hatteras will not receive any proceeds from the sale of shares under the Registration Statement.
