Guaranty Financial Group Inc. Announces Extension of Record Date for Offering of Non-Transferable Stock Purchase Rights

AUSTIN, Texas -- Guaranty Financial Group Inc. (NYSE: GFG) ("Guaranty" or the "Company") announced today that the Company has established the close of business on June 17, 2008, or such later date as its registration statement relating to the proposed rights offering is declared effective by the Securities and Exchange Commission, as the new record date (the "Record Date") for the Company's proposed rights offering of common stock.

The new record date of June 17 was chosen to allow the Company to continue its existing negotiations on a significant capital infusion that it plans to effect as a private placement.

Guaranty is expected to offer all or a portion of shares not otherwise purchased by stockholders in the rights offering through an underwritten offering, which could include an overallotment.

Keefe, Bruyette & Woods, Inc. has been previously designated as dealer manager in the rights offering and is also expected to serve in the additional capacity of sole managing underwriter in any underwritten offering following the rights offering.

A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.

A copy of the prospectus and additional materials relating to the rights offering are expected to be mailed on or about June 17, 2008 to common stockholders of the Company as of the Record Date.
