SEC Declares Ingersoll Rand Form S-4 Registration Effective

HAMILTON, Bermuda -- Ingersoll-Rand Company Limited (NYSE:IR) today announced that the United States Securities and Exchange Commission has declared effective the Registration Statement on Form S-4, including the proxy statement/prospectus, relating to the company's proposed acquisition of Trane Inc. (NYSE:TT). Trane will hold a special meeting of stockholders on June 5, 2008, to vote on the proposed transaction.

Trane previously set the close of business on April 23, 2008, as the record date for determining shareholders who will be entitled to vote on the acquisition. The company plans to begin mailing the proxy statement/prospectus today to all eligible Trane shareholders.

The parties expect to close the proposed transaction on June 5, 2008, or as soon as administratively practical after that, contingent upon receiving the requisite approval from Trane shareholders.
