SEC Update; Notice & Access Report Card

SEATTLE -- The elections and global financial markets are grabbing all the headlines, but in the background the SEC has been quietly preparing a full agenda of new rules and proposals that IROs need to be aware of. NIRI Seattle is pleased to host a panel of experts who will cover the important upcoming changes and help IROs find their way through the proxy season minefields.

Securities attorney Tom Sterken from Keller Rohrback will discuss the impact of recent SEC pronouncements including:

* Scrutiny on executive compensation

* Modernization of disclosure requirements

* Shareholder activism

* Recent developments

Panelist Scott Lam from Broadridge will provide a report card on last year's Notice and Access experiences - what worked, what didn't, and lessons learned. Now that Notice and Access will be expanded to include small cap companies as of January 1, 2009, Scott will address mandatory compliance requirements and what Notice & Access models work best.

About the Panelists

Thomas A. Sterken, Keller Rohrback

Tom Sterken is a graduate of the University of Michigan School of Law. He is a partner with the firm of Keller Rohrback L.L.P. in Seattle. His practice emphasizes finance, securities and acquisitions. A substantial part of his practice includes representing and advising public and privately-held banks and financial institutions.

Scott Lam, Broadridge

Scott's primary focus is to partner with corporate issuers toward building a more efficient Annual Meeting process. Prior to working for Broadridge, Scott spent 7 years at Microsoft working in strategic Partner Management and new product marketing. Scott brings a myriad of experience in strategic planning and project management to his role at Broadridge.

Leah Grant, Moderator

Leah has strategic and tactical experience in investor relations, corporate and product public relations, and corporate communications for local biotechnology companies. Prior to founding Fluidea in 2007, Leah headed the investor relations and communication efforts at Cell Therapeutics, Inc. She has more than 22 years experience in the biopharmaceutical/medical device industry with eight years in IR and communications. Leah has been an active member of NIRI since 2000 and is currently President-Elect of the Seattle chapter.
