Merrill Lynch Declares Dividends on Common and Preferred Stocks

NEW YORK -- The board of directors of Merrill Lynch & Co., Inc. (NYSE:MER) declared a regular quarterly dividend of 35 cents per common share payable December 3, 2008, to shareholders of record on November 13, 2008.

In addition, the finance committee of the board of directors of Merrill Lynch & Co., Inc. declared the following dividends on shares of preferred stock:

* $272.89 per share of Floating Rate Non-Cumulative Preferred Stock, Series 1 equivalent to $0.2274 per Depositary Share (NYSE: MERPRG)

* $265.22 per share of Floating Rate Non-Cumulative Preferred Stock, Series 2 equivalent to $0.2210 per Depositary Share (NYSE: MERPRH)

* $478.13 per share of 6.375% Non-Cumulative Preferred Stock, Series 3 equivalent to $0.3984 per Depositary Share (NYSE: MERPRI)

* $306.67 per share of Floating Rate Non-Cumulative Preferred Stock, Series 4 equivalent to $0.2556 per Depositary Share (NYSE: MERPRJ)

* $306.67 per share of Floating Rate Non-Cumulative Preferred Stock, Series 5 equivalent to $0.2556 per Depositary Share (NYSE: MERPRL)

* $16.75 per share of 6.70% Non-Cumulative Preferred Stock, Series 6 equivalent to $0.418750 per Depositary Share (NYSE: MERPRN)

* $15.63 per share of 6.25% Non-Cumulative Preferred Stock, Series 7 equivalent to $0.390625 per Depositary Share (NYSE: MERPRO)

* $646.88 per share of 8.625% Non-Cumulative Preferred Stock, Series 8 equivalent to $0.5391 per Depositary Share (NYSE: MERPRQ)

Series 1, 2, 3, 4 & 8 dividends are payable November 28, 2008, to holders of record on November 14, 2008. Series 5 dividends are payable November 21, 2008, to holders of record on November 10, 2008. Series 6 and 7 dividends are payable December 30, 2008, to holders of record on December 8, 2008.

The finance committee also declared a dividend of $2,250.00 per share on the privately placed Non-Voting Mandatory Convertible Non-Cumulative Preferred Stock Series 2 & 3. Dividends are payable on November 28, 2008 to holders of record on November 14, 2008.
