L-1 Identity Solutions Announces Results of 2009 Annual Meeting of Stockholders

STAMFORD, Conn. -- L-1 Identity Solutions, Inc. (NYSE: ID), a leading supplier of identity solutions and services, today announced results from the Company's 2009 Annual Meeting of Stockholders held on Wednesday, May 6, 2009.
At the meeting, all proposals on the agenda were approved by the requisite stockholder vote, with a quorum of stockholders present in person or by proxy. The stockholders approved proposals providing for the:
- Election of B.G. Beck, James M. Loy and Peter Nessen as Class I directors of the Company to serve for a three-year term expiring at the Annual Meeting of Stockholders of the Company in 2012.
- Permission for the Series A Convertible Preferred Stock, par value $0.001 per share, held by Robert V. LaPenta, the Company’s Chairman, President & Chief Executive Officer, to be converted into shares of common stock, par value $0.01 per share, at a conversion price of $13.19 per share, subject to specified adjustments.
- Amendment of the L-1 Identity Solutions 2006 Employee Stock Purchase Plan to increase the number of share of common stock available for issuance under the plan from 500,000 to 2.5 million.
- Ratification of the selection of Deloitte & Touche LLP as the Company's independent registered public accounting firm for the year ended December 31, 2009.
