Taiwan's Lite-On Technology to make tender offer for Finland's Perlos Corporation

Finnish precision plastics manufacturer Perlos Corporation said on Monday (13 August) that it has entered into a combination agreement with the Taiwanese optoelectronics components supplier Lite-On Technology.

Under the agreement Lite-On or its wholly owned direct or indirect subsidiary will make a voluntary public tender offer to acquire all of the issued and outstanding shares of Perlos Corporation.

The price offered for each share validly tendered in the offer shall be EUR5.20 in cash, representing a premium of 40.5% compared to the closing price of EUR3.0 of the Perlos shares on the OMX Nordic Exchange Helsinki on 10 August 2007.

Perlos said that Lite-On has received irrevocable commitments to tender shares held by Oy G.W. Sohlberg Ab (GWS), in total representing 29.14% of the votes and share capital of Perlos.

Perlos Corporation, headquartered in Vantaa, Finland, is a global design and manufacturing partner for the telecomms and electronics industry. The group has production facilities in Asia, Europe and the Americas. Perlos is listed on the Nordic Exchange in Helsinki.

One British pound (GBP) is worth approximately 1.48 euros (EUR).
