Bromberg (law, Southern Methodist U.) and Ribstein (law, U. of Illinois) provide commentary on limited liability partnership statutes in the United States through approximately August 15, 2004. The first seven chapters cover the registered limited liability partnership provisions and related law, offering discussions of LLP formation, partner liability for partnership debts, effects of LLP status on other partnership rules, among other topics. Two remaining chapters look at the adoption of new uniform partnership laws, including the Revised Uniform Partnership Act and the revised version of the Uniform Limited Partnership Act. The texts of these two acts are appended, alongside selected state statutes, the Prototype Registered Limited Liability Partnership Act, and the 1997 Prototype Partnership Agreement for a Limited Liability Partnership Formed Under the Uniform Partnership Act.
