Rocky Mountain Internet Inc. announced Wednesday it has entered into a letter of intent to purchase DataXchange Network, Inc., in a stock transaction for 535,000 shares of RMI common stock, with a reduction in the number of shares in the event that certain revenue benchmarks are not met.
The transaction is expected to close by the end of October 1998.
According to Douglas H. Hanson, president, CEO, and chairman of Rocky Mountain Internet, "The acquisition gives RMI ownership of DataXchange's state-of-the-art nationwide backbone. RMI anticipates this backbone will allow RMI to significantly reduce its networking costs. Additionally, DataXchange's backbone is expected to assist RMI in building a full-solutions IP-based communications company."

Headquartered in Clearwater, FL and incorporated in 1993, DataXchange Network is a national backbone provider that has 150 regional ISP's as its subscribers. Boardwatch magazine estimates that DataXchange is the sixth largest overall among the 36 national backbones, when it comes to backbone marketshare.
The company connects its customers via a nationwide network of 326 POP's and a backbone that has been engineered using the top of the line Cisco 7500 routers and fully meshed T-3 ATM ports to a dual OC-3 fiber optic ring. DataXchange peers at multiple NAPs with all significant backbone providers, insuring customers with redundancy and exceptional quality.
In addition to its ISP subscriber base, the company has about 75 small business subscribers to which it leases T-1's, as well as contracts to lease T-1's to California school districts valued at more than $13.8 million in billings. DataXchange had annual revenues for the preceding fiscal year for 1997 of $1.7 million.
According to Robert Laughlin, president of DataXchange Network, Inc., "We are excited about Doug's vision and feel RMI will not only contribute significantly to our future growth but also enable us to offer our customers a wide-range of services not currently available from our competition."
As a result of the merger, RMI will obtain control of DataXchange's network operations, facilities, and Robert Laughlin and other employees are expected to join the RMI team.
