Billy Blues Corp., Marco's to merge

HOUSTON -- Marco's Mexican Restaurants Inc., a 20-unit chain based here, has signed a letter of agreement to merge with San Antoniobased Billy Blues Food Corp., which operates the Billy Blues Barbecue, Longhorn Cafes and Hotspur's concepts.

Ghulam Bombaywala, owner of Marco's, said his company generated about $21.8 million in revenues in 1993. He is exchanging all his shares of Marco's for 3.9 million shares of Billy Blues common stock. Marco's will operate as a wholly owned subsidiary of Billy Blues.

As part of the deal, Bombaywala will become vice chairman of Billy Blues' board of directors and designate three directors to the six-person board.
