REPEAT - LIVESTAR Entertainment Group Inc. Announces Signing of Definitive Agreement for VoIP Service VOXBOX and Discusses the FCC's Stance on VoIP
Market Wire, December, 2004
LIVESTAR Entertainment Group Inc. ("LIVESTAR" or the "Company") (OTC BB: LVSG) today proudly announced that it has signed a definitive agreement to acquire 50% of VOXBOX, http://www.myVOXBOX.com, an exciting new service in the multibillion-dollar VoIP market. The Company expects VOXBOX to be a quality contributor for its 2005 growth plans.
Ray Prescott, Founder of VOXBOX, stated: "Earlier this quarter, the Federal Communications Commission ("FCC" or the "Commission") cleared the way for increased investment in VoIP services. Specifically, in a FCC press release in November, the Commission stated that VoIP is not subject to traditional state public utility regulation. This is a major development for services like VOXBOX because, since VoIP services will not be state regulated like phone companies, their ability to grow and operate with less restriction is heightened tremendously. The timing of this relationship with LIVESTAR could not be better. We look forward to executing the next steps with LIVESTAR and subsequently launching our service."

Voice over Internet Protocol (VoIP) is a technology that allows you to make telephone calls using a broadband Internet connection instead of a regular (or analog) phone line. Some services using VoIP may only allow you to call other people using the same service, but others may allow you to call anyone who has a telephone number -- including local, long distance, mobile and international numbers. Also, while some services only work over your computer or a special VoIP phone, other services allow you to use a traditional phone through an adapter. Further information on how VoIP works can be found at www.fcc.gov/voip/
VOXBOX allows you to make telephone calls using the Internet. When placing a VoIP call using a phone with a VOXBOX adapter, you'll hear a dial tone and dial just as you always have. Voice over IP converts the voice signal from your telephone into a digital signal that travels over the Internet then converts it back at the other end so you can speak to anyone with a regular phone number.
Under the definitive agreement between LIVESTAR and the owners of the VOXBOX service, Global Bancorp, Inc., the parties will jointly develop the VOXBOX service in a new corporate entity. Under the agreement, LIVESTAR'S full equity participation is subject to and predicated on a funding and management support commitment over the next calendar year.
Ray Hawkins, CEO of LIVESTAR, commented, "Since being introduced to the VOXBOX opportunity we have been excited about the potential for growth in the huge VoIP market. Now with the abovementioned FCC news, we feel VoIP is definitely a good investment for us. We believe our timing to switch to a holding company strategy could not have been better, in order for us to get in on the VoIP opportunity."
This development regarding VOXBOX is another key step LIVESTAR plans to make in its transition to a public holding company. The Company is committed to building shareholder value through both acquisitions and new development and more positive changes are to come and we look forward to the execution of other deals that are in development.
