Xybernaut Corporation and Roaming Messenger Announce Signed Agreement to Market Integrated Mobile Solutions

Wearable Computers and Secure Interoperable Mobile Messaging Platform Extend Active Functionality of Government and Enterprise Applications to Personnel in the Field

FAIRFAX, VA and SANTA BARBARA, CA, February 1, 2005 -- Xybernaut Corporation (NASDAQ: XYBR) and Roaming Messenger (OTC BB: RMSG) announced today that they have formed a business alliance to deliver integrated solutions to government agencies and corporations. The announcement was made during the West 2005 Conference and Exposition presented by the Armed Forces Communications Electronics Association (AFCEA) and the U.S. Naval Institute (USNI), at the San Diego Convention Center.

Xybernaut will be integrating Roaming Messenger's mobile messaging platform into its products and other best of breed solutions. The integrated solution takes advantage of lightweight and powerful Xybernaut Atigo® wireless mobile computers, as well as Roaming Messenger's technology that encapsulates workflow logic and data into "smart messengers." These "messengers" can then enable dynamic interaction by Atigo users. This combined capability allows corporations and public agencies to extend active functionality of their core applications to the mobile world.

The Atigo mobile computers are a family of technologies designed for dual use as a wireless flat panel display (FPD) or a stand-alone wireless-enabled mobile/wearable computer.

The Atigo product family currently contains three products named Atigo M, Atigo T and Atigo T-HB (High Bright). All Atigo products support dual-use functions and are configured with built-in IEEE 802.11b WLAN wireless networking support through standard PC Card and/or Compact Flash slots. Atigo products utilize industry standard Microsoft® operating systems -- Windows® XP-Embedded for the Atigo T lines and CE.NET for the M.

With the integration of Roaming Messenger's technology, users will be able to dynamically interact with a rich variety of content from the core application, including text, images, GIS data, voice and other information and processes. Furthermore, Roaming Messenger addresses a host of mobile messaging challenges by offering end-to-end, government grade security as well as interoperability across devices, networks and carriers.

"In selecting Roaming Messenger as a business alliance partner, we were impressed with the breakthrough capabilities of the technology, which goes beyond other mobile middleware solutions that use static messaging like email or SMS. By integrating Roaming Messenger into our solutions, we foresee delivering even greater value to both our enterprise and government our customers," stated Steven A. Newman, Xybernaut president and COO.

"Roaming Messenger is excited to team with Xybernaut, a leading provider of mobile computing hardware and integrated solutions. Our companies share a common vision of the increasingly mobile enterprise that requires the most advanced solutions to continually enhance the organization's effectiveness, productivity and security," said Jon Lei, Roaming Messenger's chief executive officer. "This alliance opens up promising new opportunities to introduce Roaming Messenger's technology to a wider customer base, given Xybernaut's extensive penetration in government and enterprise markets."

The companies have agreed to collaborate on jointly promoting the integrated solutions in their respective existing sales channels and engaging in joint marketing opportunities. Xybernaut will be participating in Roaming Messenger's booth at this week's AFCEA/USNI West 2005 show, (booth 2021 in the main Exhibit Hall).
