Armitec Acquires All Of The Assets Of Pocono Knits, Inc. And Jack Young, Associates

Armitec, Inc. (OTCBB:AMTI) announced today that it has concluded the purchase all the assets of Pocono Knits, Inc. and Jack Young Associates of Hazelton, PA., which markets under the label of "COMMANDO BY JACK YOUNG". The acquisition included inventory, equipment, customer accounts, accounts receivables and the company's trademarks. The agreement also included the reassignment of the company's 58,000 square foot facility and most importantly, over $2 million in existing contracts. Jack Young Associates, Inc. will operate as a wholly owned subsidiary of Armitec,Inc.
"The synergies achieved by the merger of these two companies is phenomenal," Bruce Davis, President of Armitec,Inc. is quoted. The same sales force will be catering to a common customer base thus benefiting both companies. The addition of the Jack Young line will make Armitec a significant player in the uniform industry and give the company exposure to the large career and school uniform programs.
Jack Young Associates is a manufacturer of sweaters which began operations over 41 years ago. The company manufactures sweaters made with Pil-Trol S6, an exclusive oil-resistant fiber that resist pilling, for the military, police, fire, security and the postal service. Jack Young produced over 90% of all military sweaters in the U.S. and in addition has manufactured sweaters for foreign governments.
In 1998, Jack Young garnered the prestigious Department of Defense Award for Value Engineering. Jack Young has recently submitted to the U.S. government its proposal for the manufacture of the new Berets that all branches of service will be using.
It is anticipated that sales from Jack Young Associates will contribute approximately $4.5 million to the total estimated company wide revenues of $8 million for calendar year 2002.
