Magic Lantern Group Reports Delay in Filing Annual Report on Form 10-K for the Year Ended December 31, 2004

Magic Lantern Group, Inc. (AMEX: GML), a leading international distributor of educational content and third-generation, digital content and e-delivery solutions, announced today that it will be late in filing its 2004 Annual Report on Form 10-K with the SEC, which was due Friday, April 15, 2005. The Company currently expects to file the 2004 Annual Report by April 22, 2005.
The Company stated that the delay in filing was due to the inability of the Company's auditors to complete their audit of the Company's financial statements to be included in its 2004 Annual Report. As previously announced on March 3, 2005, the Company's current independent auditors, Schwartz Levitsky Feldman LLP, were engaged on March 1, 2005, as its independent auditor to audit the Company's financial statements for the fiscal year ended December 31, 2004.
