Uranerz Energy Corporation (the "Company") (AMEX: URZ)(FWB: U9E) announces that it has filed a Form SB-2 preliminary prospectus registration statement with the Securities and Exchange Commission ("SEC") under the Securities Act of 1933, as amended (the "Securities Act"). The prospectus relates to the sale, transfer or distribution of shares of the common stock of the Company, by the Selling Shareholders listed in the document. If and when the SEC declares the registration statement effective, it will allow those shares listed by the Selling Shareholders in the registration statement to be eligible to be resold.
The Company will not receive any proceeds from the sale or distribution of the common stock by the Selling Shareholders. The Company may receive proceeds from the exercise of warrants, if any, and will use the proceeds from any exercise for general working capital purposes.
The Selling Shareholders may not sell these securities until the registration statement filed with the SEC is effective, unless another exemption is available under the Securities Act.
