Molson Coors Executive Residing in Canada Establishes Automatic Share Disposition Plan
Market Wire, December, 2007
Molson Coors Brewing Company today announced that certain Molson Canada executives have established automatic share disposition plans ("ASDPs") similar to the 10b5-1 plans entered into previously by other Molson Coors executives.
Under the ASDP, the executive is not permitted to exercise any further discretion or influence over how, when or whether the exercise of options or sale of common stock under the ASDP will occur. An ASDP can only be established when the insider participating in the plan is not in possession of material non-public information.
Kevin Boyce, President and Chief Executive Officer and three other Molson Canada executives established ASDPs pursuant to the guidance specified by Rule 10b5-1 under the US Securities Exchange Act of 1934 and to the applicable Canadian provincial securities legislation, including the guidance under Ontario Securities Commission's Staff Notice 55-701.
The decision to participate in an ASDP is a personal decision of the executive based on that executive's personal investment objectives. Each ASDP has been approved pursuant to the terms of the Molson Coors policies and no trades will take place under the ASDPs until February 18, 2008. The ASDPs are part of the executives' long-term strategy to diversify assets and, over a maximum 12-month period, provide for the sale of shares of Molson Coors common stock issued under its Long-Term Incentive Program in connection with exercises of stock options.
Other Molson Coors executives residing in Canada may from time to time adopt ASDPs.
