(PINKSHEETS: ERUC) is pleased to announce that the members of Company's Board of Directors, its officers, employees and other affiliated and related persons have pledged to exchange over 1,000,000,000 shares of common stock for shares of Series B exchange program. ER Urgent Care Holdings, Inc. is offering stockholders the right to exchange the Company's Common Stock for shares of Series B Preferred Stock, on the basis of one share of the Series B, valued at $1.00 per share for each 1,000 shares of the Company's Common Stock tendered. The shareholders will also receive warrants to purchase one share of the Company's Common Stock for each share of Common Stock tendered.
ER Urgent Care Holdings, Inc. will be featured in the Investor's Business Daily on Wednesday, September 10, 2008, Friday, September 12, 2008, and Monday, September 15, 2008.
