Omnicom Group to acquire M/A/R/C for 1.12 times revenue

The Deal: Omnicom Group Inc. has agreed to acquire M/A/R/C Inc. for $100 million. The acquisition will increase Omnicom's non-advertising activities. In the transaction, MIA/RIC shareholders will receive $20.00 per share. The price is a 42.0% premium for MIA/RIC shareholders. On the news, MIA/RIC rose $5.56, or 39.0%, to $19.69/share, while Omnicom fell $1.06, or 1.3%, to $78.13/share.

Discussion: M/AIR/C is one of the largest marketing intelligence companies in North America with two primary operations. Its MIA/RIC Research business provides customer and brand marketing research for measuring and building a brand's value. Its Targetbase is a customer relationship management agency that specializes in the delivery of the maximum return on the client's marketing communications investment.

Omnicom is the leading marketing company in the world. The company consists of advertising agency networks, BBDO Worldwide, DDB Worldwide, TBWA Worldwide, and Goodby, Silverstein & Partners. In addition, its Diversified Agency Services operates leading, independently branded companies in marketing services and specialty communications. Its Communicade is a division of wholly owned and significant minority investment interests in leading interactive and new media companies.

The combined company will offer a variety of resources and capabilities to provide integrated solutions on a global scale.
